The terms governing your use of NextBayt.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and NextBayt Analytics FZCO, a company incorporated in the International Free Zone Authority ("IFZA"), Dubai Silicon Oasis, Dubai, United Arab Emirates, holding Trade License No. 89752 ("NextBayt," "we," "us," or "our").
These Terms govern your access to and use of www.nextbayt.com, the NextBayt iOS application, the NextBayt Android application, the NextBayt Chrome browser extension, and all related features, tools, content, and services (collectively, the "Service").
By creating an account, accessing, browsing, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Cookie Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not access or use the Service.
You must be at least 18 years of age and have the legal capacity to enter into a binding contract under the laws of your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these requirements. The Service is not directed at, and must not be used by, individuals under the age of 18.
These Terms apply to your use of the Service across all platforms and channels through which it is made available, including:
References to "the Service" in these Terms include each of the above platforms unless a specific provision states otherwise (for example, provisions relating to in-app purchases, which apply only to the mobile applications).
The Service is designed for, and offered to, users located in the United Arab Emirates and, as of the Effective Date, the European Union and European Economic Area ("EU/EEA").
The Service remains not directed at, and is not knowingly offered to, individuals located in the United Kingdom or Switzerland (collectively, the "Excluded Territories"), pending a separate assessment of UK GDPR and Swiss FADP requirements. Access from the Excluded Territories may be technically restricted (geoblocked) consistent with the practices described in our Privacy Policy.
If you access the Service from an Excluded Territory using means that circumvent such restrictions (for example, a VPN), you do so at your own risk, in breach of these Terms, and without any assurance that NextBayt has implemented the data protection safeguards required under UK or Swiss data protection law. NextBayt reserves the right to suspend or terminate accounts accessed from Excluded Territories.
Technical restriction measures are applied on a reasonable-efforts basis and may be more effective on some platforms than others; in particular, browser extensions such as the NextBayt Chrome extension are inherently more difficult to reliably geo-restrict than app-store-distributed mobile applications. NextBayt does not guarantee that access from an Excluded Territory will be prevented in all cases on any platform.
If you access or use the Service from the EU/EEA, your use is additionally governed by our International Data Protection Addendum (Part A - EU/EEA), which forms part of these Terms and supplements this Section, Section 9.2, and our Privacy Policy specifically for EU/EEA users, including as to international data transfers, automated-processing transparency, and your right of withdrawal for paid Subscriptions.
For the purposes of these Terms, the following capitalized terms have the meanings set out below:
"Service" means the NextBayt website (www.nextbayt.com), the NextBayt iOS and Android mobile applications, the NextBayt Chrome browser extension, and all features, tools, and functionality made available through any of them, as described in Section 2.
"Content" means all text, data, graphics, reports, Deal Scores, Fair Price Estimates, software, interfaces, and other materials made available through the Service by NextBayt or its licensors, excluding User Content.
"User Content" means any data, files, documents, notes, messages, or other materials that you upload, submit, type, or otherwise input into the Service, including but not limited to messages and files shared with the AI Assistant and notes or annotations you add to a Watchlist.
"Deal Score" means an automated, rule-based numerical or categorical score generated by the Service, reflecting NextBayt's proprietary, statistically derived assessment of a given property listing relative to comparable listings and market data. Neither the Deal Score nor the Fair Price Estimate is generated by, or constitutes the output of, a generative AI model (see Section 2.4).
"Fair Price Estimate" means an automated, rule-based estimate of a property's likely fair market value, generated by the Service using statistical methods applied to available market data, including data sourced as described in Section 2.2. Like the Deal Score, it is not generated by a generative AI model (see Section 2.4).
"AI Assistant" means the conversational, large-language-model-based chat feature offered through the Service, presented to users as "Zane" or "Zain" depending on locale, which generates non-deterministic, AI-based responses as described in Section 2.4 and Section 7.
"Subscription" means a recurring paid plan for the Pro Tier of the Service, as described in Section 5.
"Free Tier" means the no-cost tier of the Service, offering the features and subject to the usage limits described in Section 5.2.
"Pro Tier" means the paid Subscription tier of the Service, offering the features and subject to the usage limits described in Section 5.2.
"Watchlist" means the feature of the Service that allows you to save, track, organize, and annotate specific property listings of interest to you.
"Dossier" or "Report" means the downloadable PDF investment report generated by the Service in respect of a property or portfolio, combining Deal Score, Fair Price Estimate, Risk Analysis, and related data, as described in Section 2.1(c) and licensed to you subject to Section 11.1.
"Broker Partner(s)" means the independent, third-party real estate brokerage businesses with which NextBayt maintains a commercial referral relationship for the purpose of Lead Sharing, as described in Section 12.
"Account" means the registered user profile, associated with a unique individual, through which you access and use the Service, as described in Section 3.
NextBayt is a real estate analytics platform that provides tools including, without limitation:
(a) Deal Score — an automated rating of individual property listings; (b) Fair Price Estimate — an automated estimate of fair market value for a given property; (c) PDF Investment Dossier / Report — a downloadable summary report combining Deal Score, Fair Price Estimate, and related market data for a property or portfolio; (d) Risk Analysis — automated flagging of factors that may affect the risk profile of a property investment; (e) Watchlists — tools to save and monitor properties of interest; (f) Portfolio tracking — tools to record and monitor properties you own or are considering; (g) AI Assistant (Zane/Zain) — a conversational chat feature that can answer questions and provide information relating to the UAE real estate market and the Service; and (h) Referral Program — a program allowing existing users to refer new users in exchange for rewards, as described in Section 15.
NextBayt's analytics, including Deal Score, Fair Price Estimate, and Risk Analysis, are generated using data obtained, in whole or in part, from official government sources, including the Dubai Land Department ("DLD") and Digital Dubai open data and API services, as well as other market data sources.
NextBayt does not control, verify, or guarantee the accuracy, completeness, currency, or continued availability of any third-party data source, including DLD and Digital Dubai data. Government data feeds may contain errors, omissions, or delays, may be updated or revised without notice, or may become temporarily or permanently unavailable. NextBayt's outputs are only as reliable as the underlying data supplied by these third parties, and NextBayt expressly disclaims responsibility for inaccuracies originating from such sources.
NextBayt's access to and use of Dubai Land Department and Digital Dubai (Dubai Digital Authority, "DDA") data is subject to NextBayt's own integration agreement with the relevant government authority, which imposes obligations on NextBayt regarding data security, permitted use, and restrictions on reproduction or onward transmission of the integration platform and the data obtained through it. Nothing in these Terms grants you any right to use DLD-, Digital Dubai-, or DDA-sourced Content beyond what NextBayt itself is permitted to provide to you under that agreement, and your rights to any such Content remain subject to Section 11 (Intellectual Property, Reports, and Export Controls).
THIS IS AN IMPORTANT NOTICE. PLEASE READ IT CAREFULLY.
NextBayt Analytics FZCO is a technology and analytics company. NextBayt is not a licensed real estate broker, financial advisor, investment advisor, or valuation professional, and is not regulated or licensed by the Real Estate Regulatory Agency ("RERA"), the Dubai Financial Services Authority ("DFSA"), the Securities and Commodities Authority ("SCA"), or any equivalent regulator in any jurisdiction.
The Deal Score, Fair Price Estimate, Risk Analysis, and all other outputs of the Service are:
You should independently verify all information and obtain advice from appropriately licensed real estate brokers, valuers, lawyers, and/or financial advisors before making any property or investment decision. Any decision you make in reliance on the Service is made entirely at your own risk.
This disclaimer is also displayed directly alongside each Deal Score and Fair Price Estimate shown within the Service, and applies with equal force wherever those outputs appear, whether on the website, in the mobile applications, in the Chrome extension, or within a Report or Dossier.
To help you understand the reliability characteristics of different parts of the Service, NextBayt draws a clear distinction between two categories of output:
(a) Deterministic, rule-based outputs. The Deal Score, Fair Price Estimate, and Risk Analysis are generated by fixed, rule-based, and statistical methodologies applied consistently to the underlying data. Given the same input data, these outputs will generally reproduce the same result. They are not generated by a generative AI model, but they remain estimates and are subject to the data limitations described in Section 2.2 and the disclaimers in Section 2.3.
Where you share a preference with the AI Assistant (for example, that proximity to a university, school, or transit link matters to you), NextBayt may use that preference to personalize the weighting applied within this methodology for your account, as described in our Privacy Policy. Personalization changes which inputs are weighted more heavily for you; it does not change the deterministic, rule-based nature of the underlying calculation, and the Deal Score and Fair Price Estimate remain outputs of the same fixed methodology, not outputs generated by a generative AI model.
Note on consistency between sessions. The scoring methodology itself is fixed and rule-based. However, because the AI Assistant uses non-deterministic AI models to interpret and extract your stated preferences from natural-language conversation, the specific preference inputs derived from a given conversation may vary depending on how a statement is phrased or interpreted, including across different conversations. As a result, your Deal Score or Fair Price Estimate may differ over time even where the scoring rules themselves have not changed. NextBayt does not warrant that a Deal Score or Fair Price Estimate will remain constant across conversations or over time.
(b) AI-generated, non-deterministic outputs. Responses from the AI Assistant (Zane/Zain) are generated using third-party large language model ("LLM") technology. LLM outputs are inherently non-deterministic — the same question may produce different answers at different times — and can be inaccurate, incomplete, outdated, or entirely fabricated ("hallucinated"). You must independently verify any factual claim, figure, or statement made by the AI Assistant before relying on it in any way. Further disclosures and limitations relating to the AI Assistant are set out in Section 7.
To the maximum extent permitted by applicable law, the Service, including all Content, Deal Scores, Fair Price Estimates, Reports, Risk Analyses, and AI Assistant outputs, is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the Service will be uninterrupted, error-free, or secure. NextBayt does not warrant that the Service will meet your requirements or expectations.
From time to time, NextBayt may make new, beta, pre-release, or experimental features of the Service available to some or all users, labeled as "Beta," "Experimental," "Preview," or similar ("Beta Features"). Beta Features are provided for evaluation purposes only, may not function as intended, may contain errors or inaccuracies beyond those otherwise disclosed in these Terms, and may be changed substantially or discontinued at any time without notice. Beta Features are not covered by the service availability commitments in Section 5.9. NextBayt may collect additional feedback and usage data specific to Beta Features in order to evaluate and improve them. Use of Beta Features is entirely at your own risk and remains subject to all other applicable provisions of these Terms, including the disclaimers in Sections 2.3–2.5 and the limitation of liability in Section 16.1.
To access most features of the Service, you must register for an Account. You agree to provide accurate, current, and complete information during registration and to keep such information up to date. You may register and maintain only one Account per individual, unless NextBayt expressly authorizes otherwise in writing (for example, in connection with a future team or enterprise offering as described in Section 14).
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must notify NextBayt immediately at the contact details in Section 18 if you become aware of any unauthorized use of your Account or any other breach of security.
NextBayt may suspend, restrict, or terminate your Account or access to the Service, in whole or in part, with or without prior notice, where:
(a) you breach these Terms or any incorporated policy; (b) NextBayt reasonably suspects fraud, abuse, or unlawful activity in connection with your Account; (c) you fail to make payment when due for a Subscription; (d) required to do so by law, regulation, or a competent authority; or (e) NextBayt, in its discretion, decides to discontinue or restrict the Service or your access to it, in which case NextBayt will provide reasonable notice where practicable, except in cases of suspected fraud, abuse, or legal risk, where immediate action may be taken without notice.
You represent and warrant that you are not: (a) a resident of, or accessing the Service from, an Excluded Territory as described in Section 1.5; (b) subject to sanctions administered by the United Nations, the United Arab Emirates, the United States (OFAC), the European Union, or the United Kingdom, or otherwise designated on any restricted or denied-party list; or (c) located in a country subject to comprehensive UAE or UN trade sanctions. NextBayt reserves the right to deny or terminate access to any person who does not meet these requirements.
Account sharing is not permitted. Your Account is personal to you. You may not share your login credentials with, or otherwise permit access to or use of your Account by, any other individual, whether to reduce or divide Subscription fees among multiple people, to extend Free Tier or Pro Tier usage limits beyond what a single individual is entitled to under Section 5.2, or for any other reason. Each individual who wishes to use the Service must register and use their own Account.
Multiple Accounts by the same individual are not permitted. As stated in Section 3.1, you may register and maintain only one Account. You may not create, control, or use more than one Account — whether under your own name, a variation of your name, a different email address, or any other identity — including in order to access multiple Free Tier allowances, to evade Subscription fees, to evade a suspension or termination of another Account under Section 3.3, or to otherwise circumvent the usage limits described in Section 5.2. This prohibition applies regardless of whether automated means are used; use of automated means to the same end is separately prohibited under Section 6.1(e).
Detection and enforcement. NextBayt may use technical and manual methods to detect Account sharing or unauthorized multiple-Account use, including analysis of login patterns, device and location signals, concurrent session activity, payment method overlap, and other usage behavior indicative of a violation of this Section. Where NextBayt reasonably determines that this Section has been violated, NextBayt may, at its discretion, take one or more of the following actions, consistent with Section 3.3: (a) request that you verify your identity or explain the usage pattern in question; (b) require you to consolidate multiple Accounts into one, or restrict access until you do so; (c) require you to upgrade to a Subscription tier appropriate to actual usage before restoring full access; and/or (d) suspend or terminate the Account(s) involved, without refund of any prepaid fees, consistent with Section 5.7.
You may stop using the Service and delete your Account at any time, using the account deletion option in your Account Settings or by contacting us using the details in Section 18. Deleting your Account will end your access to the Service and to any data associated with your Account, including your Watchlist, Portfolio, saved searches, and AI Assistant chat history, subject to the retention periods described in our Privacy Policy (for example, where continued retention is required for legal, accounting, security, or dispute-resolution purposes).
If you have an active Subscription at the time you delete your Account, deletion does not entitle you to a refund of fees already paid, consistent with Section 5.7, and your Subscription will be cancelled as of the date of deletion. NextBayt will process a deletion request within a reasonable time, consistent with the response periods described in our Privacy Policy.
NextBayt offers the Service on a freemium basis, with a no-cost Free Tier and a paid Pro Tier, each with different usage limits, as described in full in Section 5.
Certain features of the Service are available only to paying subscribers. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase and in this Section 5.
Free Tier includes, per calendar month or day as indicated: up to 5 property analyses per month; up to 3 Watchlist entries; up to 2 active alerts; and up to 10 AI Assistant messages per day.
Pro Tier includes: unlimited property analyses; unlimited Watchlist entries; up to 20 active alerts; and up to 100 AI Assistant messages per day.
NextBayt reserves the right to change the features, usage limits, and pricing associated with the Free Tier and Pro Tier at any time. Where such a change materially reduces the limits or features available to existing paying subscribers, NextBayt will provide reasonable advance notice via email or in-app notification before the change takes effect for that subscriber's then-current billing cycle.
If you downgrade from Pro Tier to Free Tier (including at the end of a free trial, upon Subscription cancellation, or otherwise), any Watchlist entries, alerts, or other data you have that exceed the Free Tier's limits are not deleted, but become hidden and inaccessible until you either reduce your data to within the Free Tier limits or upgrade again to Pro Tier, at which point previously hidden data becomes visible and accessible again, subject to the data retention periods described in our Privacy Policy. Where you have more items than a tier allows, the Service determines which items remain visible (for example, your most recently added or updated items), and NextBayt does not guarantee that any particular item will remain visible while you are over the applicable limit.
NextBayt may offer a free trial of Pro Tier features for a period of 14 days. No credit card or payment method is required to begin a free trial. Upon expiry of the trial period, your Account will automatically revert to the Free Tier and its associated limits; you will not be automatically charged, and no payment method will be charged unless you affirmatively choose to subscribe to a paid plan. NextBayt reserves the right to modify, limit, or discontinue the free trial offer at any time.
Payments for Pro Tier Subscriptions made via the website (www.nextbayt.com) are processed by Stripe, Inc. ("Stripe"), a third-party payment processor. NextBayt does not collect, store, or have access to your full payment card details; such information is provided directly to and held by Stripe in accordance with Stripe's own terms and privacy practices. Your use of Stripe's payment services is subject to Stripe's terms of service.
Subscriptions cannot be purchased or upgraded through the NextBayt iOS or Android applications. If you wish to subscribe to Pro Tier, you must do so through the website at www.nextbayt.com. This is because NextBayt processes payments exclusively via Stripe on the web platform and does not offer in-app purchase functionality through Apple's App Store or Google Play billing systems. See also Section 13.3 regarding app store terms.
Pro Tier Subscriptions are billed on a recurring basis (monthly or annually, as selected at checkout) and will automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. NextBayt may change Subscription prices from time to time; any price change will apply from your next renewal following at least 30 days' prior notice, and will not affect a billing cycle already in progress.
You may cancel your Subscription at any time through your account settings on the website. Cancellation will take effect at the end of your then-current billing cycle, and you will retain Pro Tier access until that date. Fees already paid are non-refundable, except where required by applicable law or where NextBayt, in its discretion, determines a refund is warranted (for example, in cases of a demonstrable billing error), or as described below for EU/EEA consumers.
If you are a consumer located in the EU/EEA, you have a statutory right of withdrawal from a paid Subscription within 14 days, as described in Section 9 of the International Data Protection Addendum (Part A - EU/EEA), which takes precedence over the general non-refundable rule in this Section 5.7 to that limited extent.
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for UAE Value Added Tax (currently 5%) and any other sales, use, value-added, or similar taxes applicable to your Subscription, which will be added to your invoice where required by law.
NextBayt does not guarantee any specific level of uptime or availability for the Service and does not offer a service level agreement (SLA). NextBayt will use commercially reasonable efforts to keep the Service available but, consistent with Section 2.5, does not warrant that the Service will be uninterrupted or error-free.
If the Service is unavailable, due to causes within NextBayt's reasonable control (excluding scheduled maintenance, of which NextBayt will give reasonable advance notice where practicable, and events described in Section 16.5, Force Majeure), for more than seventy-two (72) consecutive hours within a calendar month, your sole and exclusive remedy for that unavailability, shall be an extension of your then-current Subscription period, at NextBayt's discretion, by a number of days reasonably corresponding to the qualifying downtime, up to a maximum of seven (7) days in any rolling twelve (12)-month period. NextBayt shall have no monetary liability, and no obligation to issue refunds or cash payments, for Service downtime or unavailability of any duration. This Section states your sole remedy specifically for Service availability issues; it does not itself limit or expand NextBayt's general limitation of liability in Section 16.1, which continues to apply to claims not specifically addressed by this Section.
You agree not to, and not to permit any third party to:
(a) scrape, crawl, harvest, or extract data from the Service using automated means (bots, scripts, spiders) without NextBayt's prior written consent; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying methodology of the Service, including the Deal Score or Fair Price Estimate methodology; (c) resell, redistribute, sublicense, or commercially exploit any Content, Report, Dossier, or data obtained from the Service without NextBayt's prior written consent; (d) circumvent, disable, or attempt to circumvent any usage limits, rate limits, paywalls, or access controls of the Service; (e) use automated means to create multiple Accounts, generate excessive requests, or otherwise abuse the Service or its AI Assistant, including attempts to extract system prompts, jailbreak, or misuse the AI Assistant for purposes unrelated to its intended function; (f) use the Service for any unlawful purpose, or in a manner that infringes the rights of, or causes harm to, NextBayt or any third party; or (g) upload or transmit any User Content that is unlawful, defamatory, infringing, or that contains malicious code.
Violation of this Section 6.1 may result in suspension or termination of your Account under Section 3.3.
Unauthorized access and scraping. You acknowledge that unauthorized access to, or scraping, crawling, or automated extraction of data from, the Service may constitute a criminal offense under UAE Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes, in addition to a breach of these Terms.
Injunctive relief. You further acknowledge that a violation of paragraphs (a) or (d) of this Section 6.1 may cause NextBayt irreparable harm for which monetary damages alone would be an inadequate remedy. Accordingly, in addition to any other remedies available at law or under these Terms, NextBayt shall be entitled to seek injunctive or other equitable relief to prevent or restrain any such violation, without the necessity of posting a bond, to the extent permitted by applicable law.
You retain ownership of any User Content you submit to the Service. By submitting User Content (including files, text, or messages shared with the AI Assistant, and notes added to a Watchlist), you grant NextBayt a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, process, reproduce, and use such User Content solely for the purposes of: (a) operating and providing the Service to you; (b) the purposes described in Section 7 (AI Assistant content use); and (c) improving and training NextBayt's systems, as further described in our Privacy Policy. Where the Privacy Policy provides a mechanism to opt out of the use of your content for model training or improvement, that mechanism applies to this license as well. This license survives only as long as reasonably necessary for these purposes or as otherwise described in our Privacy Policy's data retention provisions.
The Service, including all software, source code, user interfaces, visual designs, the Deal Score and Fair Price Estimate methodologies, the "Zane"/"Zain" name and branding, and all other Content (excluding User Content and third-party data), is owned by NextBayt or its licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws. Reports and Dossiers generated by the Service are licensed to you for your personal or internal business use only. You may not redistribute, resell, publish, or otherwise make available any Report, Dossier, or other Content to third parties without NextBayt's prior written consent. See also Section 11.
If you provide NextBayt with any feedback, suggestions, or ideas regarding the Service, you grant NextBayt a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to compensate you.
This Section 7 governs your use of the AI Assistant and supplements the general disclaimers in Section 2.
Content you submit to, and receive from, the AI Assistant may be used by NextBayt to monitor usage of the Service, to understand what users need and improve the Service for customers generally, to train and improve NextBayt's systems (including the AI Assistant and related models), and for quality assurance and safety purposes. This may also include using preferences you state in chat to personalize the weighting of your Deal Score and Fair Price Estimate, as described in Section 2.4.
To be clear: we do not promise that a human will never read your messages to the AI Assistant, and we do not review every conversation as routine practice. In the ordinary course, most conversations are not reviewed by a person — but some may be, for example to investigate misuse, improve the AI Assistant, or ensure safety and quality. If you would not want NextBayt or its AI providers to see something, do not enter it into the chat.
This means you should not submit information in the AI Assistant that you do not wish NextBayt (or, where applicable, its AI sub-processors identified in Section 7.2) to be able to access, including sensitive personal information, financial account details, or confidential third-party information.
Further detail on how chat data is processed, retained, and safeguarded is set out in our Privacy Policy, which you should read alongside this Section.
The AI Assistant is powered by large language model technology provided by third-party AI providers, which may include, depending on the query and system configuration: Anthropic (Claude API), OpenAI (ChatGPT API), Moonshot AI (Kimi), and DeepSeek. When you interact with the AI Assistant, your inputs (and relevant context) are transmitted to one or more of these providers for processing in order to generate a response.
Please note that some of these providers, including Moonshot AI and DeepSeek, are based in and operate infrastructure located in the People's Republic of China. By using the AI Assistant, you acknowledge that your chat content is transmitted to and processed by these third-party providers, including in jurisdictions outside the UAE, as further described in Section 9.2 and in our Privacy Policy.
The AI Assistant is a general-purpose conversational tool and is not a substitute for professional advice. Its responses are generated by non-deterministic AI models and may be inaccurate, incomplete, out of date, or fabricated, as described in Section 2.4. You must not rely on any output of the AI Assistant as a basis for a financial, legal, investment, or property transaction decision without independent verification from a qualified professional. NextBayt disclaims all liability for decisions made in reliance on AI Assistant outputs, as further described in Section 16.1.
Use of the AI Assistant is subject to daily message limits: 10 messages per day for Free Tier users and 100 messages per day for Pro Tier subscribers, as described in Section 5.2. These limits reset on a rolling 24-hour or calendar-day basis as implemented by NextBayt from time to time, and may be adjusted as described in Section 5.2. NextBayt reserves the right to apply additional fair-use restrictions to prevent abuse, excessive automated querying, or activity that degrades the Service for other users.
The AI Assistant may, in response to your questions, generate statements or summaries referencing specific real estate developers, projects, brokerages, or other companies ("Third-Party References"). Any such Third-Party Reference is generated automatically by the underlying AI model and has not been independently verified, reviewed, or endorsed by NextBayt before being shown to you. A Third-Party Reference does not represent NextBayt's own opinion, assertion, endorsement, or confirmation of any fact concerning the referenced developer, project, brokerage, or company, and must not be relied upon, republished, or repeated as if it were verified fact.
If you believe a Third-Party Reference generated by the AI Assistant is inaccurate, misleading, or otherwise objectionable — whether you are a user of the Service or a third party referenced by it — you may report it to us at the contact details in Section 18. We will review and, where warranted, act on such reports, including by correcting, removing, or restricting the AI Assistant's ability to generate similar statements going forward.
This Section 8 describes how NextBayt may proactively contact you, and how you can control this.
As part of the Service, NextBayt may proactively contact you — using the contact details associated with your Account — to notify you of properties, deals, or listings that NextBayt's systems determine may match your stated preferences, Watchlist activity, or usage patterns ("deal-matching"), as well as to send general product updates, promotional offers, and marketing communications.
NextBayt may contact you through any of the following channels:
We rely on your consent for WhatsApp and phone marketing outreach, and on our legitimate interest (balanced against your rights) for email and in-app notifications regarding property matches relevant to your stated preferences, consistent with the UAE Personal Data Protection Law and as further described in our Privacy Policy.
You have a genuine and effective right to opt out of proactive contact, separately for each channel, at any time, as follows:
Opt-out requests are honored on a rolling basis and take effect as promptly as operationally practicable. Opting out of one channel does not automatically opt you out of others — each channel is controlled separately so that, for example, you may choose to keep receiving email deal alerts while opting out of phone calls. You may also manage or withdraw consent for these communications generally through your Account Settings or by contacting us using the details in Section 18.
NextBayt uses a number of third-party vendors and sub-processors to operate the Service, including, without limitation: Google Cloud Platform (GCP) for hosting (hosted in a US region); Supabase for database services; Cloudflare for content delivery and security; Stripe for payment processing; Google Analytics and Microsoft Clarity for website/product analytics; and Meta (Facebook) Pixel for advertising measurement. This list is provided for general awareness; our Privacy Policy is the authoritative source for the current, complete list of sub-processors, the categories of data each processes, and the purposes for which they are engaged, and should be consulted for full details.
Your data, including User Content, may be transferred to, stored in, and processed in countries outside the United Arab Emirates in connection with the general sub-processors listed in Section 9.1, including the United States.
A separate and specific acknowledgment applies to the AI Assistant. Some of your data, including messages you send to the AI Assistant, may be processed by service providers located in, or that transfer data to, the United States and China (see Section 7.2). These countries' data protection laws may differ from, and may not offer the same protections as, UAE law. By continuing to use the Service and, in particular, by using the AI Assistant, you specifically acknowledge and consent to this transfer, subject to the safeguards described in our Privacy Policy.
If you are located in the EU/EEA, this Section 9.2 is supplemented by Section 5 of the International Data Protection Addendum (Part A - EU/EEA): transfers rely on Standard Contractual Clauses and/or adequacy decisions rather than on consent as the primary basis, and your AI Assistant queries are routed only to Anthropic and OpenAI, never to Moonshot AI or DeepSeek.
The Service may contain links to, or integrations with, third-party websites, applications, or services that are not owned or controlled by NextBayt. NextBayt is not responsible for the content, accuracy, or practices of any third-party site or service, and your use of such third-party services is at your own risk and subject to their own terms and privacy policies.
Our collection, use, storage, and disclosure of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
Our use of cookies and similar tracking technologies on the website and applications is governed by our Cookie Policy, which is likewise incorporated into these Terms by reference.
NextBayt processes personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data ("PDPL"), as amended, and its implementing regulations. Further detail regarding our PDPL compliance measures, your data subject rights, and how to exercise them is set out in our Privacy Policy.
For business, enterprise, or team customers who require a data processing agreement in connection with their use of the Service (for example, where NextBayt processes personal data on their behalf), NextBayt will make available a separate Data Processing Agreement ("DPA") upon request or as part of a future enterprise offering, as further described in Section 14.
Each PDF Investment Dossier or Report generated through the Service is licensed to you for personal use or your own internal business evaluation purposes only. You may not redistribute, publish, sell, sublicense, or otherwise share any Dossier or Report with third parties (including prospective buyers, sellers, or other brokers) without NextBayt's prior written consent, except that you may share a Dossier with your own professional advisors (e.g., lawyer, accountant, licensed broker) engaged to assist with a specific transaction.
"NextBayt," "Zane," "Zain," and associated logos and branding are trademarks of NextBayt (registered or unregistered, as applicable). You may not use these marks in any way that suggests endorsement, affiliation, or sponsorship by NextBayt without our prior written consent.
You agree not to export, re-export, or otherwise transfer any Report, Dossier, or Content in violation of applicable export control or economic sanctions laws, including those of the United Arab Emirates, the United States, or the European Union.
NextBayt does not currently share your contact details, property search activity, or any other personal information with any third-party real estate broker, brokerage firm, or similar business ("Broker Partner(s)").
NextBayt reserves the right to introduce a lead-sharing feature in the future, under which your contact details and expressed property interests may be shared with one or more independent Broker Partners so that they can contact you directly about relevant properties, listings, or deals ("Lead Sharing"). Should NextBayt activate Lead Sharing, we will, before the feature applies to your Account: (a) update these Terms and our Privacy Policy to describe the feature, the data involved, and how it works; (b) provide clear and prominent notice of the feature and your right to decline it, separate from your general acceptance of these Terms; and (c) make available a genuine, easy opt-out mechanism, consistent with Section 17.1.
Your use of the NextBayt iOS and Android applications is subject to these Terms in addition to the applicable app store's own terms of service.
Your use of the NextBayt Chrome extension is subject to these Terms in addition to Google Chrome Web Store's applicable developer and user terms.
The Chrome extension operates by reading property listing information that is already displayed on a webpage you are voluntarily viewing in your browser (for example, on a third-party property listing site), solely in order to pre-fill NextBayt's own analysis form with that information at your request. The extension does not independently request, crawl, or retrieve data from any third-party server. NextBayt is not affiliated with, endorsed by, or acting on behalf of any third-party website on which the extension may be used, and NextBayt is not responsible for the content, accuracy, or availability of any such third-party website.
Where you download or use the Service through Apple's App Store or Google Play, the applicable app store operator's terms of service (including, where relevant, its terms regarding in-app purchases, refunds, and platform conduct) also apply to your use of the mobile application, and will govern platform-specific matters such as app distribution and removal, to the extent they conflict with a platform-specific provision of these Terms. This is consistent with the restriction on in-app purchases described in Section 5.5 — because NextBayt does not process payments via Apple or Google's in-app billing systems, Apple's and Google's respective in-app purchase terms do not apply to NextBayt Subscription payments, which are instead governed by Section 5.4 of these Terms.
NextBayt may in the future offer multi-seat, team, or enterprise account plans allowing multiple individual users to be administered under a single organizational Account. Any such offering will be subject to a separate enterprise agreement and, where applicable, a Data Processing Agreement, to be entered into between NextBayt and the relevant organization, which will govern that organization's use of the Service in place of, or in addition to, applicable provisions of these Terms. No multi-seat or enterprise offering is currently available as of the Effective Date of these Terms.
NextBayt may offer a referral program allowing existing registered Users in good standing to refer new users to the Service in exchange for rewards (which may include, without limitation, Subscription credit, extended trial periods, or other benefits as described on the referral program page from time to time).
Rewards are earned in accordance with the specific mechanics described on the referral program page at the time of referral (for example, upon a referred user successfully creating an Account and/or subscribing to a paid plan). NextBayt reserves the right to determine, in its discretion, whether a referral qualifies for a reward.
NextBayt may modify the terms of the referral program, including reward amounts and eligibility criteria, or discontinue the referral program entirely, at any time and without liability, subject to honoring rewards already validly earned prior to such change.
Any attempt to manipulate the referral program through fake accounts, self-referrals, automated referral generation, or other fraudulent means is strictly prohibited and will result in forfeiture of rewards and may result in Account suspension or termination under Section 3.3.
You are solely responsible for any tax liability arising from rewards received under the referral program.
To the maximum extent permitted by applicable law, NextBayt, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the Service.
Without limiting the foregoing, NextBayt shall have no liability whatsoever for any financial loss, investment loss, missed opportunity, or other damage arising from any decision you make to buy, sell, lease, hold, or otherwise deal with any property in reliance on the Deal Score, Fair Price Estimate, Risk Analysis, any Report or Dossier, or any output of the AI Assistant. This exclusion directly reflects, and should be read together with, the no-professional-advice disclaimer in Section 2.3 and the AI limitations disclaimer in Section 7.3: such outputs are informational only, are not advice or a guarantee, and any reliance on them for a property or investment decision is at your sole risk.
If you use the Service in connection with your own business, including as a real estate broker, brokerage, or other professional user, NextBayt shall have no liability for any failure by you to make payment to, or fulfil any obligation owed to, your own customers, clients, vendors, or other third parties, including where such failure arises from your reliance on the Service, from Service downtime described in Section 5.9, or from any inaccuracy in Service outputs.
Nothing in this Section 16.1 excludes or limits NextBayt's liability for fraud, fraudulent misrepresentation, willful misconduct, or gross negligence, or for death or personal injury caused by NextBayt's negligence, to the extent such liability cannot be lawfully excluded or limited.
To the extent any liability cannot be excluded under applicable law, NextBayt's total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount you paid to NextBayt for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) AED 100.
You agree to indemnify, defend, and hold harmless NextBayt and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your breach of these Terms; (b) your use or misuse of the Service; (c) your User Content; or (d) your violation of any applicable law or the rights of any third party, including any Broker Partner or other user.
These Terms, and any dispute arising out of or in connection with them (including non-contractual disputes), shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict of laws principles.
The parties shall first attempt to resolve any dispute arising out of or in connection with these Terms through good-faith negotiation. If a dispute is not resolved within thirty (30) days of written notice of the dispute, either party may refer the dispute to arbitration seated in Dubai, administered by the Dubai International Arbitration Centre (DIAC) under its arbitration rules then in force. The arbitration shall be conducted in English, before a single arbitrator, and the arbitral award shall be final and binding on the parties. This forum is fixed in advance and is not subject to unilateral election by either party after a dispute arises; a different forum (for example, DIFC-LCIA) may only apply where separately agreed in a negotiated enterprise agreement under Section 14.
Notwithstanding the foregoing, either party may bring an individual claim in the small claims division of the competent Dubai court where the amount in dispute falls within that court's jurisdictional limit, in lieu of arbitration.
Nothing in this Section 16.4 prevents either party from seeking urgent interim or injunctive relief from the competent courts of Dubai, which shall have jurisdiction for that limited purpose.
NextBayt shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including without limitation acts of God, natural disaster, war, terrorism, civil unrest, governmental action, internet or telecommunications failures, power outages, or failures of third-party service providers (including data sources, cloud hosting, or AI sub-processors referenced in Sections 2.2, 7.2, and 9.1).
NextBayt may amend these Terms from time to time. Where a change is material, NextBayt will provide reasonable advance notice by email and/or a prominent notice on the Service, and will update the "Last Updated" date at the top of these Terms. Your continued use of the Service after the effective date of any change constitutes your acceptance of the amended Terms. If you do not agree to the amended Terms, you must stop using the Service and may terminate your Account.
NextBayt may modify, suspend, or discontinue the Service, or any feature of it (including Deal Score, Fair Price Estimate, Watchlists, the AI Assistant, or the referral program), at any time, with or without notice, and shall not be liable to you or any third party for doing so, except as otherwise expressly required by applicable law or these Terms (for example, regarding Subscription cancellation rights under Section 5.7).
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitral tribunal of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy, Cookie Policy, and (where applicable) any Data Processing Agreement, constitute the entire agreement between you and NextBayt regarding the Service and supersede any prior agreements or understandings. In the event of a conflict between these documents, the order of precedence shall be: (1) any applicable Data Processing Agreement (for matters within its scope); (2) these Terms of Service; (3) the Privacy Policy; and (4) the Cookie Policy, unless the conflicting document expressly states otherwise for the matter in question.
You may not assign or transfer these Terms, or any rights or obligations under them, without NextBayt's prior written consent. NextBayt may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.
NextBayt may provide notices to you via email to the address associated with your Account, through in-app notifications, or by posting on the Service. You may provide notice to NextBayt using the contact details in Section 18.
These Terms are drafted in the English language, which shall control in the event of any conflict or inconsistency with any translated version. NextBayt may, at its discretion, make an Arabic-language translation of these Terms available for convenience; such translation is not authoritative.
Provisions of these Terms which by their nature should survive termination of your Account or these Terms — including, without limitation, Sections 2.3–2.5 (disclaimers), 3.4 (eligibility restrictions), 6.1 (acceptable use, including unauthorized access/scraping and injunctive relief), 6.3 (intellectual property), 7.1 (AI chat content use), 7.2 (third-party AI sub-processors), 7.3 (AI limitations and no-reliance disclaimer), 9.2 (international data transfers), 11 (reports and IP), 16 (liability, indemnity, and dispute resolution), and 17 (general provisions) — shall survive any termination or expiration of these Terms or your Account.
